Definitions
Attendees: Employees or representatives of V360 Backdrops who deliver and install the Equipment.
Business Day: A day other than a Saturday, Sunday or public holiday in England and Wales, when banks in London are open.
Charges: The charges payable by the Customer for the supply of Services.
Commencement Date: The date V360 Backdrops receives a Booking Confirmation from the Customer, or V360 Backdrops receives the Deposit, whichever is first.
Contract: The agreement between V360 Backdrops and the Customer for the supply of Services, incorporating these Terms and the Booking Form.
Customer: The individual or business hiring Equipment or Services as identified in the Booking Form.
Deposit: A non-refundable amount specified in the Booking Form, required to confirm the booking.
Equipment: The backdrop items and related accessories supplied by V360 Backdrops, including flower walls, feather walls, sequin shimmer walls, neon signs and other décor.
Event: The date and location at which Services are to be provided, as detailed in the Booking Form.
Event Services: The Services delivered by V360 Backdrops including delivery, installation and removal of Equipment.
Force Majeure Event: Events beyond a party’s reasonable control including natural disasters, war, terrorism, strike, pandemic, or acts of government.
Guests: Individuals attending the Event.
Services: The backdrop hire and related services supplied by V360 Backdrops.
Specification: Details of the Equipment and Services to be provided, as set out in the Booking Confirmation.
Venue: The location specified by the Customer where Services are to be provided.
V360 Backdrops: V360 Backdrops, whose registered office is at 58 Mansion Gardens, Penllergaer, Swansea, SA4 9GY.
1. Basis of Contract
The Contract shall be effective from the Commencement Date.
These Terms apply exclusively to the Contract. Marketing materials are for guidance only and not legally binding.
Quotes are valid for 7 Business Days and do not constitute an offer.
2. Consumers
If the Customer is a consumer under the Consumer Rights Act 2015, the following provisions apply:
Cancellation: You may cancel your booking within 21 days of confirmation by emailing info@v360backdrops.com. However, the Deposit is non-refundable. After 21 days, a 20% fee of the total booking price applies.
Liability: V360 Backdrops is liable only for foreseeable loss or damage resulting from its breach of contract. We are not liable for unforeseeable loss.
Statutory Rights: Your statutory consumer rights are not affected.
3. Supply of Services
Services are supplied in accordance with the Specification.
V360 Backdrops may amend the Specification if required by law or for technical reasons, provided it does not materially alter the Services.
Services will be performed with reasonable care and skill.
4. Equipment
V360 Backdrops provides Equipment solely for use at the Event Venue and during the Event Period.
Installation and takedown are handled by V360 Backdrops only.
The Equipment remains the property of V360 Backdrops at all times.
The Customer is liable for loss, theft, or damage resulting from misuse or negligence.
No unauthorised movement or modification of the Equipment is permitted.
5. Event Requirements
Customers must ensure adequate space and access for setup (approx. 2.4m x 2.4m area for backdrops).
If the Venue is not suitable, V360 Backdrops reserves the right to cancel setup without refund.
Access to parking and entry must be available.
If the Venue has specific restrictions, these must be communicated in advance.
Outdoor setups must be pre-approved and are weather-dependent.
6. Customer Obligations
Customers must:

Ensure the Booking Form is complete and accurate.

Provide access to the Venue at agreed times.

Ensure a safe environment free of hazards.

Prevent abusive behaviour toward staff.

Provide appropriate power access if needed.

Notify V360 Backdrops of any issues with the Equipment.

Not relocate, tamper with, or damage the Equipment.
Failure to comply may result in cancellation of Services and loss of booking fee.
7. Charges and Payment
Full payment must be made upon booking unless otherwise agreed.
All Charges are non-refundable unless explicitly stated.
Late cancellations (within 21 days of the Event) will incur a 20% charge of the full booking value.
All fees are payable without deductions or offsets.
8. Intellectual Property Rights
All intellectual property rights relating to the Equipment and branding remain with V360 Backdrops.
Customers may not copy or reproduce any aspect of the Equipment or branding.
9. Data Protection
Any personal data received will be processed in accordance with our Privacy Policy and UK GDPR.
Customers should ensure they have proper permissions for any third-party personal data shared with V360 Backdrops.
10. Limitation of Liability
V360 Backdrops’ liability shall not exceed the amount paid under the Contract.
We are not liable for indirect losses including lost profits, event disruption, or reputational damage.
Nothing in these Terms limits liability for death or personal injury caused by negligence or fraud.
11. Termination
V360 Backdrops may terminate the Contract if:

Payment is not received

The Customer commits a serious breach

Staff face abuse or unsafe conditions

Equipment is at risk

The Customer becomes insolvent
Upon termination, V360 Backdrops may retrieve its Equipment immediately and charge the Customer for incurred costs and any outstanding fees.
12. Force Majeure
Neither party is liable for delays or failure to perform due to Force Majeure Events.
Affected parties must notify the other as soon as possible and resume performance when feasible.
13. Notices
Notices must be sent by email to info@v360backdrops.com, or to the email address provided by the Customer in the Booking Form.
Emails are deemed received when sent, if during business hours.
14. Third-Party Rights
No other party shall have any rights under the Contract except the parties to it.
15. Governing Law and Jurisdiction
This Contract is governed by the laws of England and Wales.
Any disputes shall be exclusively handled by the courts of England and Wales.
